Katten, a global Am Law 100 law firm, is seeking a highly qualified Associate to join its Tax Department in the Employee Benefits Practice Group in the New York office.

Responsibilities
Candidates will be working on a variety of employee benefits and executive compensation matters, including due diligence in mergers & acquisitions. The position requires drafting, negotiating and counseling on executive compensation arrangements, public company executive compensation programs and M&A transactions, and research and counseling on compliance with the Internal Revenue Code, ERISA, and other laws governing employee benefit plans.
The ideal candidate will also handle work in other areas of ERISA, such as qualified plans counseling and corrections, ESOPs, ERISA Title I aspects of fund formation and investment management and/or handling the ERISA aspects of real estate, private credit, or structure finance transactions.
Qualifications
JD, LLM and/or LLB degree and 4-7 years of experience in employee benefits and executive compensation matters, including due diligence in mergers & acquisitions (with substantial experience in private equity transactions).
The ideal candidate will also have experience with other areas of ERISA practice, such as qualified plans counseling and corrections, ESOPs, ERISA Title I aspects of fund formation and investment management, and/or handling the ERISA aspects of real estate, private credit, or structure finance transactions.
All candidates must have excellent academic credentials, strong writing skills, and a client-team focused approach.
Candidates are required to be bar licensed to practice or eligible to waive into the New York Bar.

Salary determinations are made based on numerous factors, such as, but not limited to experience/job history and class/graduation year of the selected candidate.
