Our client, a mission-driven nonprofit organization with a national and international footprint, is seeking an Assistant General Counsel to join its legal team in Lower Manhattan. This is a newly created role and an exclusive search. This is a broad-based, highly collaborative in-house role offering meaningful exposure across contracts, compliance, governance, employment-related matters, intellectual property, real estate, and organizational risk management. Working closely with the organization’s senior legal leadership, the successful candidate will serve as a key legal advisor to internal stakeholders across the enterprise and play an active role in supporting day-to-day operations and strategic initiatives. The position is well suited for a law firm associate looking to transition in-house into a sophisticated legal environment with significant responsibility, close business partnership, and a collegial, mission-oriented culture. The organization offers a hybrid schedule (2 days/week in office), a true 35-hour work week outside of limited peak periods, and generous PTO and holiday benefits.

Responsibilities:
• Review, draft, and negotiate a broad range of agreements, including commercial contracts, leases, software, and technology agreements, licensing agreements, releases, and related documents;
• Advise internal stakeholders on a variety of legal and compliance matters, including corporate, intellectual property, governance, tax, regulatory, and operational issues;
• Partner with business teams and organizational leadership to provide practical, business-oriented legal guidance on day-to-day matters and strategic initiatives;
• Conduct legal research and analysis across a wide range of substantive areas affecting the organization;
• Assist in the development, review, and implementation of internal policies, procedures, and compliance frameworks;
• Support employment- and HR-related initiatives, including advising on and drafting workplace policies and guidance;
• Advise on risk management issues related to organizational activities, programs, and affiliated chapters/entities;
• Develop and deliver legal trainings and educational resources for staff and volunteers;
• Manage and coordinate matters handled by outside counsel in the U.S. and internationally;
• Collaborate closely with senior members of the legal department on special projects and organizational priorities.
Required Qualifications:
• J.D. from a top law school and admission to the New York bar in good standing;
• 3+ years of transactional experience at a major law firm;
• Background in corporate and/or real estate matters strongly preferred;
• Experience drafting and negotiating commercial agreements and advising on general corporate legal issues;
• Strong analytical, communication, and organizational skills, with the ability to manage multiple matters simultaneously;
• Demonstrated ability to identify legal risk and provide practical, solutions-oriented advice to business stakeholders;
• Ability to work both independently and collaboratively in a fast-paced, team-oriented environment; and
• Excellent judgment, attention to detail, and interpersonal skills.
